The first of the decrees guiding the new Law on Enterprises has finally been issued – Decree No. 78/2015/ND-CP dated 14 September (“Decree 78”). Decree 78 will become effective as of 1 November 2015 and deals with enterprise registration matters only.

Decree 78 outlines the procedures and documents required for registration of an enterprise (including foreign invested enterprises), as well as subsequent procedures for amendments to the enterprise registration.

Under Decree 78, in processing the registration application dossier, the registration authorities are not allowed to request any documents other than those set out in Decree. Further, ministries and people’s committees are also not permitted to impose any additional restrictions and conditions applicable within their management/locality. Any existing conditions or restrictions will become invalid from 1 November 2015.
